Corporate Governance
Mao Bao Inc. upholds the spirit of corporate governance as its highest operational guideline, guided by the principles of sustainable management and social responsibility. We are committed to transparency and the disclosure of information, while balancing the interests of all stakeholders and enhancing operational performance to safeguard shareholders' rights and interests.
The Board of Directors is responsible for supervising corporate management and collaborates closely with the executive team. Together, they monitor and stay abreast of the latest regulatory developments, restrictions, and rules issued by securities authorities and stock exchanges to preserve the company’s well-established reputation.
In accordance with the Articles of Incorporation, the Board of Directors is composed of seven members, including three independent directors, to ensure the independence and effective functioning of the board. All board members possess extensive experience in the industry as well as professional expertise in areas such as finance, law, and management. They provide valuable guidance and insights during board meetings.
Board meetings are held at least once every quarter to review business performance and discuss major strategic issues. Key resolutions passed by the Board are promptly disclosed on the Market Observation Post System (MOPS) of the Taiwan Stock Exchange and published in the Corporate Governance section of the company website for public access.
Through the establishment of independent directors and a sound internal audit system, Mao Bao strengthens its oversight of management. The Audit Office reports the results of internal control audits to the Board of Directors quarterly, and conducts annual meetings with external auditors and independent directors to discuss internal controls and financial accounting matters.
The company has adopted a Board Diversity Policy, which has been implemented and disclosed on our website. In forming the board, the company considers a broad range of backgrounds and professional expertise. Board members are expected to possess the necessary knowledge, skills, and experience to fulfill their duties, including business judgment, accounting and financial acumen, management capability, crisis handling, industry expertise, understanding of international markets, leadership, and decision-making abilities.
Notably, four of our board members are women, reflecting our commitment to gender diversity and inclusive governance.
